skystory Terms of Service

Hong Kong Riverside Culture Limited (registered in Hong Kong, China; hereinafter referred to as "skystory", "we", or "us") operates a platform designed to serve writers and publishers, enabling them to upload and distribute various literary works (hereinafter referred to as "Works") and generate revenue therefrom. These "Terms of Service", together with all referenced documents and any additional operating rules, policies, and procedures issued by skystory from time to time, govern the relationship between skystory and users (hereinafter referred to as "Users" or "you") who access and use the skystory platform. The platform includes the skystory mobile application (encompassing iPhone and Android versions, collectively referred to as the "App"), any other platforms for accessing, publishing, or distributing content, and all related services, features, or content provided through these platforms (collectively referred to as the "Services"). These terms constitute a legally binding agreement between skystory and you.

I. Acceptance of Terms and Eligibility for Use

Your access to or use of the platform signifies your unconditional acceptance of these terms and your commitment to fully comply with them. Prior to using the platform, please read these terms carefully. If you disagree with any provision herein, you must refrain from using the platform and are prohibited from accessing, viewing, or using the platform in any unauthorized manner for any purpose.

II. Third-Party Content on the Platform

The platform may contain links to third-party content, which skystory has not reviewed. Such content includes but is not limited to other websites and third-party services. These links are provided for user convenience, advertising purposes, or other business-related functions of skystory. However, skystory' inclusion of links to or embedding of third-party content does not constitute an endorsement of the third party's goods, services, products, or any other offerings. skystory explicitly disclaims any liability for third-party content linked to or embedded on the platform, including the accuracy of information on third-party websites and the quality of services or products provided or advertised by such websites, unless specifically restricted otherwise.

III. Modifications to Terms and Content Adjustments

skystory reserves the right to add, modify, or delete any provisions of these "Terms of Service" at any time without prior notice. Any changes to these terms or other published terms shall take effect immediately upon publication. Your continued use of the website following the publication of modified terms constitutes acceptance of such changes. Additionally, skystory may temporarily or permanently add, modify, discontinue, remove, or suspend any other content published on the website (including Works described or displayed thereon) at any time, also without prior notice and without assuming any liability for such actions.

IV. License Granted to Users

1. Scope of the License

Subject to your full compliance with these terms and our legal authority to grant such rights, skystory grants you a non-exclusive, non-sublicensable, and non-transferable intellectual property license. This license is limited to accessing Works, using the platform, and fulfilling other purposes explicitly stated in these terms.

2. Intellectual Property Ownership

For the avoidance of doubt, these terms do not transfer any intellectual property rights of skystory or any third party to you. All rights, title, and interest in such intellectual property remain with their respective owners.

V. Account Registration and Management

1. Account Registration Requirements

To access certain features of the platform, you must register a skystory account (hereinafter referred to as the "Account"). You are required to ensure that all information submitted during registration and any subsequent updates to your account profile are accurate, truthful, and kept up-to-date.

2. Account Security and Responsibility

Your Account is unique and personal to you. You are responsible for maintaining the confidentiality of your Account credentials, restricting access to your Account, and accepting responsibility for all purchases and activities conducted under your Account.

3. Consequences of Account Deletion

You have the right to delete your Account, but you acknowledge that Account deletion will result in the loss of access to or use of all or part of the platform's features.

4. Right to Suspend or Terminate Accounts

We reserve the sole discretion to suspend, pause, or terminate your Account at any time for any reason, particularly if you violate any provisions of these terms.

VI. Content Policy Provisions

1. Scope of the Content Policy

Our content policy (hereinafter referred to as the "Content Policy") defines the terms of use and other relevant provisions governing content uploaded to the platform by writers and publishers.

2. Reservation of Rights

For the avoidance of doubt, all rights not explicitly granted to skystory under these terms are reserved by you, and skystory shall not claim any ownership of content you upload to the platform.

VII. Prohibited User Conduct

1. Restricted Usage

Unless prohibited by applicable law, you are not permitted to:
- Copy, distribute, publicly display, or publicly perform Service content;
- Modify the Services;
- Interfere with or circumvent any features of the Services (including security or access control mechanisms). If applicable law prohibits your use of the Services, you must not use them.

2. Restrictions on Platform Access Methods

You are prohibited from altering or modifying the platform in any way, or accessing the platform through unauthorized technologies or methods (e.g., web robots, web crawlers, or other automated access tools).

VIII. Payment Terms and Conditions

1. Paid Features

Access to the platform or use of certain Service features may require payment of applicable fees. Prior to payment, you will have the opportunity to review and accept the fee details. All fees are denominated in United States Dollars (USD) and are non-refundable once paid.

2. Pricing Discretion

skystory reserves the right to set Service pricing and will make reasonable efforts to keep pricing information on the website up-to-date. We recommend that you regularly check the website for the latest pricing.

3. Payment Methods and Deductions

skystory will deduct the applicable amount from your selected payment method for purchases, covering all order costs and fees corresponding to your chosen service level, in accordance with these terms or company policies. If paying by credit card, skystory may pre-authorize your credit card account to verify validity and sufficient funds/credit limit prior to purchase. Payment processing services are provided by third-party providers (e.g., Apple in-app purchases or Google Pay).

4. Taxes and Additional Fees

All purchases may be subject to taxes and other fees (e.g., foreign exchange fees or price differences due to geographic location, including exchange rate fluctuations). We may calculate applicable taxes based on information provided in your Account or during purchase.

5. Recurring/Subscription Charges

If products or services involve automatic, recurring, or subscription-based charges, you agree to the following (subject to applicable laws):
- Such purchases/payments typically require advance payment;
- You authorize us to:
     - Store your selected payment method details (e.g., credit card information) in our system;
     - Deduct amounts from your selected payment method according to the agreed or notified time period;
- If payment via your selected method is rejected, declined, or returned unpaid for any reason:
     - We may suspend Services until payment is processed;
     - You are liable for any fees, costs, or expenses incurred by us due to payment failures (we may charge these amounts automatically);
- We will provide instructions for updating or canceling payment methods within the skystory platform.

Notably, except as required by mandatory law or specified in these terms for specific items/services, we are not obligated to provide refunds for any amounts paid, regardless of whether the item/service was used.

You acknowledge that, in accordance with Apple App Store and Google Play Store policies, we reserve the right to modify these terms in whole or in part at any time, or adjust Service pricing and availability. We do not offer price protection or refunds for price adjustments or promotional activities (permanent or temporary).

If you believe you have been incorrectly charged, you must contact us within 30 days of the charge date (subject to applicable law); no refunds will be provided for charges reported after this period.

IX. Additional Service Regulations

1. Right to Disable Content

We reserve the right to disable your content at any time if you violate these terms, or if your Account activities (in our reasonable judgment) may harm the Services, infringe third-party rights, or violate applicable laws/regulations.

2. Right to Disable Account Access

We also reserve the right to disable your Account at any time under the same conditions as content disablement. Additionally, Account names and identifiers used on the skystory platform are our property. We may disable, reclaim, and reuse these names/identifiers for any reason, regardless of whether the Account was terminated or disabled by you or us.

3. Violation Handling Procedures

Content Violation Remedies

If skystory detects, or receives reports/complaints of, user violations of this agreement, we may delete or block relevant content at any time without notice. Depending on the violation, we may take actions against the offending Account, including but not limited to warnings, feature restrictions/prohibitions, Account suspension/termination, and publication of disciplinary actions.

Platform Enforcement Rights and User Liability

You acknowledge and agree that skystory has the right to take disciplinary action against violations of laws/regulations or these terms based on reasonable judgment, pursue legal action against non-compliant users, and retain relevant information as required by law. You shall bear all legal responsibilities arising from official notifications or similar circumstances.

User Liability for Breach

You are responsible for all claims, demands, or losses arising from your violation of this agreement or related service terms. You shall compensate skystory for any losses incurred as a result of such violations.

Common Reasons for Account Suspension

You acknowledge that common reasons for Account suspension due to user agreement violations include:

Account Suspension Status Definitions

Account Suspected Status: A system-issued warning based on analysis of recent user data and behavior. Suspected fraudulent users may have partial features disabled but retain normal login and reading access.

Account Blocked Status: A system protection measure for users with clear fraudulent/deceptive behavior. All permanent features are disabled, and users cannot log in to the App.

Account Suspension Appeal Process

Appeal Rights: Account suspension is executed by the system and may involve erroneous blocking. We therefore grant users the right to appeal for Account restoration.

Appeal Documentation Requirements: Suspended users must provide valid supporting documents for manual review by our Anti-Financial Fraud Team (AFF Team), including: skystory Account number, copy of both sides of a valid ID card (marked "For skystory Account Appeal Only"), and documentation proving legitimate App usage (relevant to abnormal point activity data).

Review Timeline and Outcomes: Reviews are completed within 15 business days of document validation. If approved, the Anti-Fraud and Financial Fraud Team will restore all Account features within 24 hours. If denied, fraudulent users will not regain access to skystory features, and no further appeals will be accepted.

Final Interpretation Right: skystory reserves the final right to interpret this section.

X. Disclaimer of Liability

1. User Assumption of Risk

The platform is provided "as is", "as available", and "with all faults". Use of the platform is at your sole risk, and you shall exercise reasonable judgment and caution when using the Services.

2. No Warranty for Service Availability

skystory does not warrant that the platform, its features, content delivery, or display will be usable, uninterrupted, error-free, or free from viruses, worms, or other security threats. You assume all risks associated with platform use, including damage to your property (e.g., computer/mobile devices) or data loss resulting from platform access or content download.

3. No Warranty for Works Availability

skystory does not warrant the availability, delivery, performance, pricing, or timeliness of any Works or intellectual property on the platform (e.g., timely release of new chapters, continuous Work availability, or stable pricing).

4. No Responsibility for Data Storage

skystory is not liable for the deletion or failure to store any comments or information you submit to the platform, and does not guarantee the retention of such content. You are responsible for maintaining backup copies of all uploaded comments.

5. Force Majeure Exemption

You acknowledge that skystory shall not be liable for failure to perform its obligations due to circumstances beyond its control, including but not limited to natural disasters, fires, explosions, sabotage, terrorism, extreme weather, national emergencies, riots, wars, labor disputes, supplier failures/shortages, breach of contract, government actions/requirements, and service suspension to comply with state or federal laws/regulations.

XI. Limitation of Liability

1. Exclusion of Damages

Notwithstanding any contrary provisions herein, skystory shall not be liable to you for any direct, indirect, special, incidental, consequential, exemplary, or punitive damages arising from the platform or these terms, regardless of legal theory (contract, tort, negligence, warranty, strict liability, etc.), even if skystory was advised of the possibility of such damages or other remedies failed to achieve their purpose. Your sole remedy for dissatisfaction with the platform or these terms is to discontinue use of the platform. This limitation is an essential part of this agreement.

2. Maximum Liability Cap

If any part of this limitation is deemed invalid or unenforceable, skystory' total liability for breach of these terms and/or platform use shall not exceed five hundred United States Dollars (USD 500.00).

XII. Indemnification Obligations

1. User Indemnification Responsibility

You are responsible for your platform usage and shall defend, indemnify, and hold harmless skystory and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents (collectively "skystory Affiliates") from all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:
- Your access to/use of the platform (or alleged use);
- Your violation of these terms, related warranties/agreements, or applicable laws/regulations;
- Your infringement of third-party rights (intellectual property, publicity, confidentiality, property, privacy);
- Disputes or claims between you and any third party.
We reserve the right to assume exclusive defense and control of any matter subject to indemnification (without limiting your indemnification obligation), and you agree to cooperate with our defense efforts.

2. Platform Defense Rights

skystory reserves the right to assume exclusive defense of claims for which it is entitled to indemnification. In such cases, you shall bear all associated costs and cooperate with skystory in a timely and reasonable manner.

XIII. Promotional Activity Rules

Promotional activities conducted by skystory through the platform may have specific rules that differ from these terms. Your participation in promotional activities constitutes acceptance of such additional rules (provided at activity launch). We recommend reviewing all rules before participation. In the event of a conflict between promotional rules and these terms, the promotional rules shall prevail.

XIV. Intellectual Property Infringement Handling

Infringement Notice Submission: skystory respects the intellectual property rights of others and is committed to maintaining an infringement-free platform. If you have a good faith belief that your intellectual property rights have been infringed, you may send a notice to us via email at Henry050416Thur@gmail.com (subject line: "Infringement Notice") containing:
- Electronic/handwritten signature of the copyright/IP owner (or authorized representative);
- Description of the infringed copyright/IP work;
- Identification of infringing material on the platform;
- Your email address, mailing address, and/or phone number;
- Statement that you believe the use is unauthorized by the owner, agent, or law;
- Statement under penalty of perjury that the notice information is accurate and you are the owner or authorized representative.

Infringement Counter-Notice: If you believe an infringement notice against you was improperly submitted, you may file a "Counter-Notice" containing:
- Physical/electronic signature;
- Identification of removed/disabled material;
- Statement under penalty of perjury that the removal/disabling was a mistake or misidentification;
- Full name, email address, mailing address, and agreement to jurisdiction (a) Singapore court for Singapore addresses, (b) Singapore court for non-Singapore addresses, and acceptance of service of process from the complainant.

All notices/counter-notices must be truthful and submitted under penalty of perjury. False submissions may result in personal liability, and we recommend seeking legal advice before submission. skystory may disclose your identity and notice/counter-notice content to third parties claiming infringement or filing counter-notices. You acknowledge that such disclosure does not violate your rights (including privacy rights).

XV. Governing Law and Dispute Resolution

1. Applicable Law

You agree that these terms shall be governed exclusively by the laws of Singapore (excluding conflict of laws principles) for contracts signed and performed in Singapore.

2. Dispute Resolution

You and skystory agree to resolve all disputes, claims, or controversies arising from these terms or your relationship with skystory (contract, tort, fraud, misrepresentation, etc., whether during or after term validity) through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with SIAC rules effective at the time of arbitration notice submission.

XVI. Notice Requirements

All legal notices under these terms must be in writing and sent to skystory via email at Henry050416Thur@gmail.com. By using the platform, you agree that electronic notices from skystory satisfy legal communication requirements. You are obligated to keep your Account contact information up-to-date; we are not liable for failures resulting from outdated information.
